My name is Michael D. Baker, President and Founder of Oceanpro Aquatics,
Inc. which has been in business for well over two
decades (established 1984). I also am the
President and Founder for Living Reef Imports, llc
established in 2002.
Recently I received a fairly nice government grant which
forces me to sale my first love - Oceanpro Aquatics,
Inc. and has to be done rather quickly to meet the short
time frame I have to collect the grant. The grant
is to expand our LRI facility into the largest USA based
coral farm providing not only state side corals reducing
their cost considerably because we circumvent shipping
costs, but because we are on coastal waters with little
over head, we already have a well established
mariculture farm. This in part with our dry
division responsible for manufacturing items unique to
LRI is now our main focus and not selling other
manufacturer products as Oceanpro does so well.
There is no conflict of interest because Oceanpro
Aquatics, Inc. is in the business of dealing directly
with the general public and selling all brand name
products, not just one as LRI does. One of the
contingencies of this grant is that I not collect coral
overseas any longer and is a big part of Oceanpros
business function and earnings. Simply put to
understand, rather than abandoning Oceanpro for a grant
which I'll admit is larger than the worth of the entire
company, there is no clause keeping me from selling it
and handing off all the companies I've purchased into
over the last two decades to the new owner of Oceanpro.
Oceanpro is highly
functional, still very profitable and "is not going out
of business". We have distributors within the
USA something that is very exciting with tons of
applicants worth far more than our asking price.
In fact, just three would completely buy out Oceanpro so
I would encourage who ever takes over Oceanpro to
continue to sell distributorships.
Current territories owned by Master Distributors which I
limited to just one per state to keep all MD's from over
running each other and would be the option of the new
owner of Oceanpro how he/she wants to change this are
Virginia, Maryland, Florida, Seattle, California and
Atlanta. I currently have a couple pending in
Ontario Canada, Alberta Canada, Puerto Rico, El Paso TX,
and Phoenix AZ. But again, these are only pending
at this time.

If you are out of
state, you can still viably purchase and operate the
company but is still best operated for convenience of
our location between LAX and ONT two major international

in and relocating the business in another city, county
or state is no problem.

EBay : I use to make approx $50k monthly but
choose not to advertise on eBay any longer because
of the conflict of interest with the pet center
retailers and distributors we sell to and leave eBay
now to them.
Income is based on the "current" amount we bring in even
during this recession. Being a very unique one of
a kind company and the only one which operates the way
we do, we still thrive while other companies are sadly
enough going out of business. Frankly speaking,
others going out of business "is" part of our business.
We buy companies going out of business for pennies on
the dollar and liquidate the product to our retailers
and distributors who are thirsty for deep discounts
especially now, more than ever.

PRICE:
$90k plus interest if financed (or $70k paid up
front).
GUARANTEED FINANCING:
I'm so confident you
will be profitable, I will finance 50% of the
purchase price out of my pocket for five years if
needed with (No
Credit Check Required - I know you'll make this
quickly). The rate will be at 5% compounded
annually with a balloon payment at the end of the 5

for is included as well as the home site. Each
master distributor own their own independently.
ONE MORE DISTRIBUTOR FOR OCEANPRO: One condition of the sale is that I retain the
California region to be shared with the owner if
they re-open the warehouse here in California where
we will be the only two in this region.
However, I will be considered the same as all the
other Master Distributors under the same authority
of the new owner of Oceanpro Aquatics, Inc. which
sales directly to all MD's and Drop Ships at a
profit of course. I currently only charge my
MD's cost plus 20% as they act like satellite
offices for our corporation greatly increasing sales
I could never do on my own and from remote locations
I can't reach on a personal level. This is the
heart of this company!
EXCLUSIVE RIGHTS WITH LRI: As the owner of LRI and especially as our farm
expands this year, I will offer an exclusive
contract with the new owner of Oceanpro Aquatics,
Inc. that I will give all products manufactured,
private labeled or farm grown by LRI the very best
price over anyone in the entire industry including
our long time wholesalers under map conditions so
the economical balance doesn't crash the market of
our product line.
PERSONAL TRAINING: I will stay on for the first 30 days / 8 hrs
daily (non-consecutive) to assist and train the new
owner completely free of charge for no compensation.
In addition I will be made available around my work
schedule for an additional year also free of charge
for phone and email consultations only. Any
physical labor or other requiring in-person
assistance after the initial 30 days will be
compensated at $28 per hour which is less than 1/3
what I typically charge for consultations. I
normally charge $85 hr. when called out by
corporations, etc for any work remote or in-person.
This will insure even if you forget some of your
training you always have my help anytime you need it
and it would be extremely rare to need an in person
assistant after the first 30 days unless you need an
on-staff employee to which I can make myself
personally available at the same rate of only $28 hr
up to 30 hrs a week. LRI doesn't take that
much of my time as I have a full staff taking care
of everything already so if you need someone very
well versed in this organization, than yes I would
be willing to discuss part time employment.
MANUFACTURER & EXPORT FARM DISCLOSURE: Upon escrow, I will disclose all companies,
manufacturers, overseas exporters, fish farms and
collectors some exclusive only to us. I'll
provide a list of companies and only after escrow
will they be divulged to prevent competitors from
obtaining our list or resources that has taken over
two decades to collect and / or develop long lived
relationships with.
NO INHERIT DEBT!
Whether you finance or pay up front in full, I will
pay off all debt owed by the company in full.

Sale Distributorships: I've sold a
number of distributorships in the USA which is
similar to a franchise. I have sold several as
high as $178k each to as low as $10k each depending
upon regional location and value the distributor has
to our company. I choose not to over populate
with to many distributors so they don't overlap each
other but this would be up to the new owner to
decide how they want to run this business.
Distributors bring in a very large portion of your
orders because where I use to turn down about 70% of
my business, my distributors act almost like
satellite offices for you serving all the customer
base and just fax in their orders to you for drop
shipping to which you make money on also. They
also provide you with high capital gains to have
buying power not normally at your fingers which you
pass the deals on to them so everyone makes great

resellers and pet centers who buy at regular
discount prices (not as deep as distributors get)
